2. Pilot Program Terms

 

2.1 Pilot Participation

Participation in a pilot program is voluntary and does not obligate the school or district to enter into a long-term agreement.

 

2.2 Pilot Scope

Pilot scope, duration, number of dispensers, and servicing frequency are determined based on:

 

  • Facility size
  • Number of restrooms
  • Student population
  • Regulatory requirements

 

Pilot details will be determined in writing before deployment.

 

2.3 Pilot Fees

Pilot fees, if applicable, are one-time, non-recurring fees covering installation, servicing, and product use during the pilot period unless otherwise stated in writing

3. Equipment Ownership & Use

 

3.1 Dispenser Ownership

All dispensers provided during the pilot programs or services engagement remain the exclusive property of Essential Care Solutions unless explicitly sold under a separate written agreement.

 

3.2 Equipment Use

Schools agree to:

 

  • Use dispensers solely for their intended purpose
  • Avoid tampering, misuse, or unauthorized relocation
  • Report damage, vandalism, or malfunction promptly 

 

3.3 Loss or Damage

The school may be responsible for excessive damage or loss caused by negligence, misuse, or unauthorized alterations.

4. Installation & Access

The school agrees to provide:

 

  • Reasonable access to facilities
  • Appropriate installation locations
  • Coordination with facilities staff

 

Essential Care Solutions is not responsible for delays caused by restricted access, scheduling conflicts, or site conditions beyond our control.

5. Compliance & Regulatory Alignment

Essential Care Solutions delivers services in alignment with applicable local, state, and federal regulations. However:

 

  • The school remains responsible for ensuring compliance with its own internal policies and procurement requirements.
  • Nothing on this website constitutes legal or regulatory advice.

6. No Guarantees or Outcomes Promises

While our services are designed to support accessibility, dignity, and operational efficiency:

 

  • We do not guarantee specific outcomes such as attendance improvement, behavioral changes, or compliance determinations.
  • Results may vary based on usage, environment, and implementation.

7. Payment Terms

 

7.1 Invoicing

Upon termination:

 

  • Equipment remains the property of Essential Care Solutions
  • The school agrees to allow equipment removal
  • Outstanding fees remain payable

9. Limitation of Liability

To the fullest extent permitted by law:

 

Essential Care Solutions shall not be liable for indirect, incidental, special, or consequential damages, including but not limited to loss or use, loss of funding, or operational disruptions.

 

Our total liability shall not exceed the amount paid for services during the applicable service period.

10. Indemnification

The school agrees to indemnify and hold harmless Essential Care Solutions from claims arising out of:

 

  • Improper use of equipment
  • Failure to maintain facility conditions
  • Acts of omission by school personnel or students

11. Website Use
